We are Myszkowski CX Consulting, doing business as Bluewoo, a company registered in Switzerland at Schutzenstrasse 4, 6003 Luzern, Switzerland.

Bluewoo is an AI-native business operating system that brings HR, sales, marketing, content, and operations together in a single intelligent platform. It is a product of the Capptoo Group, a Swiss technology company headquartered in Switzerland. Bluewoo offers software-as-a-service solutions with Swiss-hosted infrastructure and full GDPR compliance.

1. OUR SERVICES

Bluewoo provides an AI-native business operating system that unifies HR, sales, marketing, content, and operations under one intelligent platform. The Services include bluewoo.com, related applications, and any services linked to these Terms and Conditions.

The Services are not tailored to comply with industry-specific frameworks such as HIPAA, FISMA, or GLBA. If your use requires those frameworks, you must not use the Services.

2. INTELLECTUAL PROPERTY RIGHTS

All software, content, designs, trademarks, logos, and related materials in the Services are owned by Myszkowski CX Consulting and its licensors. We grant you a limited, revocable, non-exclusive, non-transferable, and non-sublicensable right to use the Services for internal business purposes during your subscription.

You may not copy, publish, benchmark for public comparison, reverse engineer, sell, sublicense, or otherwise exploit the Services outside this license without our prior written consent.

3. USER REPRESENTATIONS

By using the Services, you represent that the information you provide is accurate, you have legal capacity and authority, and your use complies with applicable law.

If you act for an organization, you represent that you are authorized to bind that organization to these Terms and Conditions.

4. USER REGISTRATION

You are responsible for maintaining account credentials, enabling security controls where available, and all activity under your account. You must promptly notify us of unauthorized access.

5. PURCHASES AND PAYMENT

Paid subscriptions and optional credits may apply to certain Services. Unless otherwise stated in an Order, fees are billed in advance and are non-refundable except where required by law.

You authorize us and our payment processors to charge your selected payment method for subscriptions, usage overages, and purchased credits.

6. SUBSCRIPTIONS

Subscriptions renew automatically unless cancelled before renewal. We may update pricing with advance notice in accordance with applicable law.

If your usage exceeds plan limits, we may require plan adjustment, apply overage charges, or temporarily restrict additional usage until limits are addressed.

7. PROHIBITED ACTIVITIES

You must not misuse the Services, including unauthorized access attempts, malware distribution, scraping, automated abuse, account sharing, unlawful processing, service bureau use, or use that harms platform integrity.

8. USER GENERATED CONTENT

If you submit or post content, you are responsible for ensuring you have all required rights and permissions. You grant us the limited rights required to host, process, and operate the Services.

9. CONTRIBUTION LICENSE

To the extent needed to provide the Services, you grant us a worldwide, non-exclusive license to process, store, display, and transmit submitted content. This license ends when your content is deleted, except where retention is required by law or backup policies.

10. MOBILE APPLICATION LICENSE

If you access via a mobile app, your use is subject to app store terms and these Terms and Conditions. App distributors are not responsible for support beyond their mandatory obligations.

11. SOCIAL MEDIA

If you connect third-party social accounts, you authorize the corresponding data exchange required for that integration. Your relationship with those providers remains governed by their terms.

12. THIRD-PARTY WEBSITES AND CONTENT

The Services may include links and integrations with third-party services (including Stripe, OpenAI, Google Cloud, and others). Your use of third-party services is governed by their own terms.

Where third-party component licenses require additional terms, those terms apply to the relevant component.

13. SERVICES MANAGEMENT

We may monitor compliance, investigate abuse, limit access, remove harmful content, and take protective action necessary to secure users, infrastructure, and legal compliance.

We may suspend access for security threats or overdue payments and restore access after corrective action.

14. PRIVACY POLICY

Your use of the Services is also governed by our Privacy Policy and related data protection documentation.

15. COPYRIGHT INFRINGEMENTS

If you believe content on the Services infringes your rights, contact us with sufficient detail so we can review and respond appropriately.

16. TERM AND TERMINATION

These Terms and Conditions apply while you use the Services. We may suspend or terminate access for material breach, unlawful conduct, security risk, or payment failure.

Upon termination, your access ends. Data export and deletion are handled under our retention and contractual policies.

17. MODIFICATIONS AND INTERRUPTIONS

We may modify or discontinue features and may experience planned or emergency downtime. Material adverse changes are communicated in advance where reasonably practicable.

18. GOVERNING LAW

These Terms and Conditions are governed by Swiss law, excluding conflict of law rules. Mandatory consumer protections remain unaffected where applicable.

19. DISPUTE RESOLUTION

Before formal proceedings, parties agree to good-faith negotiations. If unresolved, disputes may proceed to mediation and then courts of competent jurisdiction as stated below.

20. CORRECTIONS

We may correct typographical errors, inaccuracies, and omissions in the Services and legal content at any time.

21. DISCLAIMER

The Services are provided on an "as is" and "as available" basis to the maximum extent permitted by law.

22. LIMITATIONS OF LIABILITY

To the fullest extent permitted by law, neither party is liable for indirect, incidental, special, consequential, punitive, or similar damages.

Our aggregate liability is limited to fees paid in the 12 months preceding the claim, except where liability cannot be excluded by law.

23. INDEMNIFICATION

You agree to defend and indemnify us from claims arising from your unlawful use, rights violations, or breach of these Terms and Conditions.

Indemnification is subject to prompt notice, defense control by the indemnifying party, and reasonable cooperation by the indemnified party.

24. USER DATA

You retain ownership of your Customer Data. You grant us rights to process Customer Data solely to provide, maintain, secure, and improve the Services.

We may use aggregated and de-identified analytics data that does not identify you or your users.

25. ELECTRONIC COMMUNICATIONS AND SIGNATURES

You consent to electronic communications and records, including notices, agreements, and confirmations delivered through the Services or email.

26. SMS TEXT MESSAGING

Where SMS notifications are offered, message and data rates may apply. You can opt out of non-essential messaging according to your notification settings or by contacting us.

27. CALIFORNIA USERS AND RESIDENTS

If required by applicable law, California users may contact the relevant consumer complaint authorities in addition to contacting us directly.

28. MISCELLANEOUS

These Terms and Conditions, together with Orders, the Privacy Policy, and any applicable DPA, form the entire agreement and supersede prior understandings on the same subject.

No waiver is effective unless in writing. If any provision is invalid, remaining provisions continue in effect. Assignment is restricted except in connection with mergers, acquisitions, or sale of substantially all assets.
